Good Gamer Entertainment adopts a notice policy



VANCOUVER, BC, November 5, 2021 / CNW / – GOOD PLAYER ENTERTAINMENT INC. (TSXV: GOOD) (“Good Gamer”), a real money skill games operator and game developer, announces that the board of directors of the Company (the “Plank“) approved the adoption of a notice policy (the”Politics“) to provide the shareholders, directors and management of the Company with a clear framework for the appointment of directors. The policy aims to: (i) facilitate an orderly and efficient annual and / or special meeting process; (ii ) ensure that all shareholders receive notice of the appointment of directors and sufficient information regarding all candidates; and (iii) allow shareholders to register an informed vote, after having been given a reasonable period of time for proper deliberation.

The policy contains a provision that requires notice to Good Gamer in cases where nominations of persons for election to the board of directors are made by shareholders of Good Gamer. The policy sets the deadlines by which reference shareholders of Good Gamer must submit nominations of directors to Good Gamer prior to any annual or special meeting of shareholders, and sets out the information that a shareholder must include in the notice to Good Gamer. for an actual appointment to occur. No person will be eligible for election as a director of Good Gamer unless appointed in accordance with the provisions of the Policy.

In the case of an annual meeting of shareholders, the deadline for notifying Good Gamer in accordance with the Policy is not less than 30 days, nor more than 65 days, before the date of the annual meeting of shareholders; provided, however, that in the event that the annual meeting of shareholders is to be held on a date which falls less than 50 days after the date on which the first public announcement of the date of the annual meeting was made, a notice can be given no later than the close of business on the 10the day following this public announcement.

In the case of an extraordinary meeting (which is not also an annual meeting) of shareholders called for the purpose of electing directors (called or not called for other purposes), the deadline for notification to Good Gamer in accordance with to the Policy is no later than the close of business on the 15the day following that of the first public announcement of the date of the extraordinary meeting.

At the next annual general and extraordinary meeting of shareholders of 23 December 2021, the Company will ask the shareholders to ratify and confirm the adoption of the Policy. The Board has adopted the policy and it will come into effect and be in full effect as of November 4, 2021.
